These Terms of Service ("Terms") govern your use of the website llcmassachusetts.org (the "Site") and the LLC formation and resident agent services (the "Services") provided by Form Massachusetts LLC ("we," "us," or "our"). By using our Site or Services, you agree to these Terms.

1. Services Provided

Form Massachusetts LLC provides LLC formation and resident agent services in Massachusetts, including:

• Preparing and filing Articles of Organization with the Massachusetts Secretary of State
• Maintaining a registered street address in Massachusetts for your business entity
• Accepting service of process and other legal documents on your behalf
• Scanning and forwarding documents to you electronically
• Sending compliance reminders for annual reports and filing deadlines
• Providing an operating agreement template
• EIN application assistance
• Providing access to an online document portal

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the authority to enter into these Terms on behalf of the business entity you are registering
• Provide accurate and complete information during enrollment

3. Service Term and Pricing

• Our LLC formation service is priced at $199 (one-time), which includes the state filing fee and first year of resident agent service
• Ongoing resident agent service after the first year is $99/year
• The resident agent service term renews annually unless cancelled
• Prices are subject to change with 30 days' advance notice before your renewal date

4. Payment

• Payment is due at the time of enrollment and upon each annual renewal of resident agent service
• We accept major credit cards and other payment methods as indicated on the Site
• If payment fails, we will attempt to notify you and may suspend Services until payment is received

5. Your Responsibilities

You agree to:

• Provide accurate and current business information
• Notify us promptly of any changes to your entity name, address, or contact information
• Maintain your entity in good standing with the Massachusetts Secretary of State
• Retrieve and act on forwarded documents in a timely manner

6. Document Handling

• We will accept documents delivered to your registered address during normal business hours
• Documents will be scanned and forwarded to you electronically, typically within the same business day
• We are not responsible for the content or legal implications of documents received
• Physical documents will be retained for a reasonable period and then securely destroyed

7. State Filing Disclaimer

• We prepare and submit formation documents based on the information you provide
• We are not responsible for delays caused by the Massachusetts Secretary of State, incomplete information, or name availability issues
• Filing timelines are estimates and depend on state processing volumes

8. Not a Law Firm

Form Massachusetts LLC is not a law firm and does not provide legal advice. Our Services are limited to LLC formation filing and resident agent functions as described herein. For legal advice, consult a licensed attorney. We do not provide tax advice, business formation counsel, or legal representation.

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claims arising from the Services is limited to the amount you paid for the Services in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for any damages resulting from delays in document forwarding or state filing caused by events beyond our reasonable control

10. Cancellation

• You may cancel your Services at any time by contacting us at support@llcmassachusetts.org
• Cancellation of resident agent service takes effect at the end of your current service term
• No refunds are provided for partial service terms or formation fees after filing has been submitted
• Upon cancellation of resident agent service, you are responsible for designating a new resident agent with the Massachusetts Secretary of State

11. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the state of Massachusetts. Any disputes arising from these Terms or the Services will be resolved in the courts located in Massachusetts.

13. Indemnification

You agree to indemnify and hold harmless Form Massachusetts LLC, its owners, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Services or violation of these Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Form Massachusetts LLC regarding the Services.
